GLOBAL WOMEN IN LEADERSHIP ALLIANCE™

MEMBERSHIP AGREEMENT

(A Program of Brighton Marketing Corporation) Effective Date: ____________________ Member Name: _______________________________________________

1. PURPOSE OF THIS AGREEMENT

This Membership Agreement (“Agreement”) outlines the terms and conditions of participation in the Global Women in Leadership Alliance™ (“the Alliance”), an initiative operated by Brighton Marketing Corporation. The Alliance provides women with access to leadership circles, networking opportunities, accountability structures, virtual discussions summits, and a global community of like-minded leaders committed to professional, business, and personal advancement. Membership does not include coaching, consulting, or professional services. These services are offered separately by individual coaches or service providers at discounted member rates.

2. TERM OF MEMBERSHIP

  1. Membership is a 12-month annual contract from the Effective Date. b. Membership fees are due annually. c. Membership automatically renews each year unless cancelled in accordance with Section 4.

3. PAYMENT TERMS

  1. Members agree to complete all required annual payments for the full 12-month term. b. A 10% discount may be available to eligible members who choose a one-time annual payment. c. All membership fees are non-refundable. d. Payments must be made through payment methods authorized by Brighton Marketing Corporation.

4. RENEWAL & CANCELLATION

  1. Members who wish to cancel after the 12-month term must provide one (1) month written notice by the 11th month. b. Cancellation must be submitted by email. Text, verbal, phone, or social media messages will not be accepted. c. If no written notice is received, the membership will automatically renew for another full 12-month term. d. The notice period begins upon receipt of the cancellation email by Brighton Marketing Corporation.

5. ONE-ON-ONE COACHING SERVICES ARE NOT INCLUDED IN MEMBERSHIP

  1. Membership in the Alliance does not include:
  • Leadership coaching
  • Career or business coaching
  • Consulting services
  • PR, branding, or media services
  • Web development or technical support
  • Bookkeeping or administrative services
  • LinkedIn optimization or personal branding services
  • Grant writing or business plan development
  • Corporate filings or business registration
  • Event management or communication strategy
  • Any professional or specialized service
  1. These services may be offered independently by qualified coaches, trainers, or consultants at discounted member rates, but they are separate from the membership. c. Any contracts or payments for these services are strictly between the Member and the service provider. d. Brighton Marketing Corporation is not a party to any external service agreements and assumes no liability for outcomes or service delivery.

6. MEMBER RESPONSIBILITIES

Members agree to: a. Participate professionally and respectfully in Alliance meetings and online spaces. b. Maintain confidentiality regarding all discussions and shared content. c. Treat all members, facilitators, and professionals with courtesy and integrity. d. Avoid harassment, discrimination, or disruptive behaviour. e. Maintain updated contact information. f. Support a safe, empowering environment for all women.

7. COMMUNITY GUIDELINES

  1. The Alliance is a positive and empowering environment. b. Members shall not engage in aggressive sales tactics or unsolicited selling. c. Members must respect intellectual property and privacy of other participants. d. Repeated violations of guidelines may result in suspension or termination without refund.

8. INTELLECTUAL PROPERTY

All materials, presentations, branding, templates, and content provided by the Global Women in Leadership Alliance™ remain the exclusive property of Brighton Marketing Corporation. Members may use materials for personal development only and may not copy, distribute, reproduce, or modify them without written permission.

9. LIMITED LIABILITY

  1. Brighton Marketing Corporation is not responsible for the actions, advice, or services of independent service providers. b. The Alliance does not guarantee any specific business, financial, or career outcomes. c. Members participate voluntarily and are solely responsible for decisions made based on Alliance interactions. d. Brighton Marketing Corporation shall not be liable for indirect, incidental, or consequential damages.

10. CONFIDENTIALITY

All personal information, stories, experiences, conversations, and materials shared within the Alliance are to be kept strictly confidential. Breaches may result in immediate termination of membership.

11. TERMINATION BY THE ORGANIZATION

Brighton Marketing Corporation reserves the right to suspend or terminate membership, without refund, if a Member: a. Violates community guidelines or professionalism standards b. Harasses members or staff c. Damages the reputation of the Alliance d. Breaches confidentiality or the terms of this Agreement

12. AMENDMENTS

Brighton Marketing Corporation may amend or update this Agreement with 30 days’ notice to members. Continued participation constitutes acceptance of revised terms.

13. GOVERNING LAW

This Agreement shall be governed by the laws of the Province of Ontario and all applicable federal laws of Canada.

14. ACCEPTANCE OF AGREEMENT

By signing below, the Member acknowledges that they have read, understood, and agreed to the terms of this Membership Agreement. 15. E-COMMERCE LEGAL ACCEPTANCE

By clicking “I Accept” on our website, the Member acknowledges and agrees that this action constitutes full legal acceptance of the Membership Agreement and the Code of Conduct, in accordance with Canadian electronic commerce laws, including the Ontario Electronic Commerce Act, 2000. The Member understands that electronic acceptance holds the same legal effect as a handwritten signature.
